Terms of Service

These Terms of Service ('Terms') govern your access to and use of the GAAPX platform and related services (collectively, 'Services') provided by GAAPX, Inc. ('GAAPX,' 'we,' 'our,' or 'us'). By accessing or using our Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not access or use our Services.

GAAPX provides a cloud-based revenue operations platform that automates billing, collections, revenue recognition, and financial reporting. Our Services are designed to help businesses manage their revenue lifecycle, achieve ASC 606 compliance, and eliminate revenue leakage.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

GAAPX offers subscription-based access to our Services. By selecting a subscription plan, you agree to pay the applicable fees as described on our pricing page. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as expressly stated in these Terms.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

The Services and their original content, features, and functionality are and will remain the exclusive property of GAAPX and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of GAAPX.

You retain all rights to the data you upload to our platform ('Customer Data'). By using our Services, you grant GAAPX a limited, non-exclusive license to access and process your Customer Data solely to provide the Services to you.

Each party agrees to maintain the confidentiality of the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

GAAPX will treat your Customer Data as Confidential Information and will not disclose it to third parties except as required to provide the Services, comply with legal obligations, or with your express consent.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAAPX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

IN NO EVENT SHALL GAAPX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO GAAPX IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

GAAPX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED. GAAPX MAKES NO REPRESENTATIONS ABOUT THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES.

You agree to defend, indemnify, and hold harmless GAAPX and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

These Terms are effective from when you first access or use the Services and remain in effect until terminated. Either party may terminate these Terms: (a) with 30 days' written notice for convenience; or (b) immediately upon written notice if the other party materially breaches these Terms.

Upon termination, your right to access and use the Services will immediately cease. GAAPX will provide you with 30 days to export your Customer Data following termination, after which we may delete it in accordance with our data retention policy.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in San Francisco, California.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to a jury trial in connection with any action or litigation arising under these Terms.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice before material changes take effect, either by posting a notice on our website, sending you an email, or through an in-app notification.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using our Services.
